TrackMyFarm Terms of Service
Effective Date: January 1, 2026
These Terms of Service ("Terms") govern your access to and use of TrackMyFarm services, including the TrackMyFarm web app, website, APIs, support, and related features (collectively, the "App"), provided by Powerhouse Agriventures Limited ("we", "us", "our", or "TrackMyFarm"). By accessing or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.
1. Eligibility
You must be at least 18 years old (or have the consent of a legal guardian) to use the App. By using the App, you represent that you meet this requirement and have the legal capacity to agree to these Terms.
2. License Grant
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the App for your personal or internal farm/business use (not for resale or commercial redistribution). We and our licensors retain all right, title, and interest in the App, including all intellectual property rights.
3. Ownership and Intellectual Property
The App (including all code, graphics, data models, algorithms, logos, trademarks, and embedded content) is owned by us or our licensors and protected by copyright, trademark, patent, trade secret, and other intellectual property laws. These Terms grant no ownership rights, only the limited license above. All rights not expressly granted are reserved.
4. Restrictions
You agree not to, and not to permit others to:
- Copy, modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the App (except to the extent permitted by applicable law notwithstanding this limitation).
- Rent, lease, lend, sell, sublicense, assign, distribute, or otherwise transfer rights to the App.
- Remove, obscure, or alter any copyright, trademark, or other proprietary notices.
- Use the App for any illegal purpose, to infringe rights, or in violation of any laws.
- Upload, transmit, or store harmful code, viruses, or unauthorized data.
- Interfere with, disrupt, or attempt to gain unauthorized access to the App.
- Circumvent, disable, or tamper with security-related features or features that enforce limitations.
- Scrape, copy, or extract data from the App without permission.
- Use the App to compete with TrackMyFarm or develop a similar service.
5. Changes to Terms
We may update these Terms at any time. We will notify you of any material changes before they take effect (e.g., via in-app notice or email). Continued use after any changes constitutes acceptance.
6. Privacy
Your use of the App is also governed by our Privacy Policy, which explains how we collect, use, disclose, and protect your information (including personal data and Farm Data). By using the App, you consent to such practices.
7. Account Registration
To access certain features, you may need to create an account. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. You must notify us immediately of any unauthorized access to your account.
8. Farm Data
The App allows you to upload, submit, store, or transmit data, information, photos, GPS coordinates, job records, and other materials ("Farm Data"). You retain ownership of your Farm Data. By submitting Farm Data, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to use, host, store, copy, reproduce, modify (for formatting/technical purposes), communicate, and display your Farm Data solely to provide, maintain, improve, and support the App (including analytics and aggregated/anonymized insights). We may use aggregated and de-identified data (that no longer identifies you or your farm) for any purpose, including research, benchmarking, product improvement, and marketing.
9. Third-Party Services
The App may integrate with third-party services (e.g., weather data, satellite imagery). Your use of those services is subject to their terms and policies. We are not responsible for third-party services or their content.
10. Payments and Subscriptions
When you set up a farm in the App, you represent that you are authorized to enter into a contract on behalf of the farm/business you represent. Prices and features are as listed on the website. Any changes to pricing or features will be communicated in advance. Invoices are issued on the first day of every month for the upcoming month, and payment is due within 14 days. Invoices are sent by email or post to the nominated billing address provided during farm setup. Unpaid invoices will result in the suspension of your farm's access to the App until payment is received. Subscriptions will automatically renew each month until cancelled. You can cancel at any time, but you will remain responsible for any fees due for the current billing period. We do not issue refunds except as required by law.
11. Termination
We may suspend or terminate your access to the App at any time for any reason, including violation of these Terms. Upon termination, your license ends, and you must stop using the App and delete all copies of the App in your possession. Sections that by nature survive (e.g., disclaimers, liability, indemnification) continue.
12. Disclaimers
The App is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the App will be accurate, reliable, secure, or error-free. Farming involves risks; do not rely solely on the App for critical decisions.
13. Limitation of Liability
To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the App, even if advised of the possibility. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim (or $100 if no payment).
14. Indemnification
You agree to indemnify and hold us harmless from any claims, losses, liabilities, damages, costs, and expenses (including attorneys' fees) arising from your use of the App, your Farm Data, or your violation of these Terms or applicable laws.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of New Zealand, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the courts of Auckland, New Zealand.
